AzerbaijanBaku Baltimore OmniTel, LLC
Baku Baltimore OmniTel, LLC (BBOT), an operational component of
Omni established in 1999 and headquartered in Baku, Azerbaijan,
owns and operates a 3.8 meter earth station, and has operating rights
of the 9.3 meter Intelsat earth station.
These satellite earth stations facilitate high quality,
international telecommunication services to wholesale and retail
customers including telecommunications companies, government entities,
postal, telephone, and telegraph providers (PTT's), international
banking institutions, and various international privately owned
companies.

HUB/Gateway Service Provider
Omni, through its affiliate BBOT, installed and
has operating rights of the 9.3 meter Intelsat earth station, which
is the only Intelsat Type-B approved earth station in the Caucasus
for international HUB/gateway services for voice and broadband data
to the Republic of Azerbaijan.
Authorized Telecommunications Operator
BBOT has a signed interconnectivity agreement with the Ministry
of Communications of the Republic of Azerbaijan. This agreement
enables BBOT to negotiate with any international carrier to carry
terminating traffic to Azerbaijan and transiting traffic through
Azerbaijan, to locations such as Uzbekistan, Georgia, Kazakhstan,
Turkmenistan, Iran, and Turkey.
Pre-paid Calling Cards
BBOT is an authorized pre-paid calling card provider to the Republic
of Azerbaijan and plans to implement an International Pre-Paid Calling
Card, which will be available for sale in PTT locations.
Caspian American Telecommunications LLC (CATEL)
Omni is also one of the founding partners and
currently the operator of Caspian American Telecommunications, LLC
(CATEL), the first telecommunications joint venture between the
Government of Azerbaijan and an American company. This $42.5 million
project was established in 1998 with Metromedia, American Insurance
Group (AIG), and WorldTel to create a wireless local loop to provide
telephone services to people in Azerbaijan. Currently, CATEL has
more than 10,000 customers and 75 employees. In addition to providing
customers internet service with AzerOnline, CATEL has recently introduced
3G technology to Azerbaijan, as noted in the Asia-Pacific Worldwide
Section of the CDMA Development Group website ( www.cdg.org).

Land Development Project
Omni Communications, Inc. has signed a Memorandum of Understanding
with the Government of Azerbaijan for a major mixed-use international
land development project along the Caspian Sea in Baku. The 700-hectare
(approximately 2,000-acre) project will include: hotels, condominiums,
a business center, medical center and marina. Omni is working with
a development team, and will be the telecommunications service provider
and operator for this project.
The Republic of Tartarstan
License
Omni Communications has signed a joint venture
agreement to provide wireless communications in the Kazan Republic
of Tartarstan.
The Republic of Moldova
License
Omni Communications has been awarded cellular and long distance
licenses in the Gagavuz Republic of Moldova.
